Disclosures

Important regulatory disclosures, risk factors, and compliance information you should understand before using Asset Haus services.

Last updated: 16 October 2026

Important risk warning

Private securities investments are speculative, illiquid, and involve a high degree of risk including the possible loss of your entire investment. These investments are not suitable for all investors. Only invest funds you can afford to lose.

Past performance is not indicative of future results. Any historical returns, expected returns, or probability projections may not reflect actual future performance.

Key risk factors

Understanding the risks

  • Investment risk

All investments involve risk, including the potential loss of principal. Past performance does not guarantee future results. The value of investments can go down as well as up.

  • Illiquidity risk

Securities issued through SPV structures are typically illiquid and may not be freely transferable. Investors may not be able to sell or exit their investments when desired.

  • Capital risk

Investment in private securities carries a high degree of risk. Investors should only invest capital they can afford to lose entirely.

  • Regulatory risk

Changes in laws, regulations, or tax treatment in any relevant jurisdiction could adversely affect the value of investments or the ability to transfer securities.

  • Operational risk

SPV structures depend on the continued operation of service providers, administrators, and custodians. Failure of any party could impact investment outcomes.

  • Technology risk

Blockchain and tokenization technologies are evolving. Smart contract vulnerabilities, network failures, or technological changes could affect tokenized securities.

1. General disclosures

Not investment advice

The information provided by Asset Haus, including on this website and through our platform, is for informational purposes only and does not constitute investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the content as such. Asset Haus does not recommend that any security, portfolio of securities, transaction, or investment strategy is suitable for any specific person.

What Asset Haus is, and is not

Asset Haus provides technology infrastructure: the tokenization platform, the register and transfer controls, the Dataroom and the platform behind the financing applications. It is not a broker-dealer, placement agent, investment adviser, funding portal or lender. Offerings are made only through their own documents, by the issuer, fund, SPV or lending partner named in them, to eligible investors where the law allows.

Independent verification

Users should conduct their own due diligence and consult with qualified legal, tax, and investment professionals before making any investment decision. Information provided through our platform should be independently verified.

Forward-looking statements

Our materials may contain forward-looking statements, such as target returns, indicative terms, projections and expectations. These statements involve known and unknown risks and uncertainties that could cause actual results to differ materially from those expressed or implied.

2. Regulatory status

Role of Asset Haus

Asset Haus provides technology and coordinates work with qualified counsel and service providers. It does not give legal advice and does not guarantee a licensing, regulatory or counsel outcome. Where a structure or activity needs a licence or registration, it is carried out by a party that holds it, and that party is named in the offering, fund, loan or engagement documents.

United States

Asset Haus is not registered with the SEC or any state securities regulator as a broker-dealer, investment adviser or funding portal. Issuers that use the platform for US investors usually rely on an exemption from registration, such as Regulation D (Rule 506(b) or 506(c)) or Regulation S for offerings outside the US, chosen with their own counsel. Securities offered under these exemptions are not registered with the SEC and are subject to restrictions on resale.

UAE (DIFC and ADGM)

Offerings and activities in the Dubai International Financial Centre (DIFC) or the Abu Dhabi Global Market (ADGM) are subject to the rules of the Dubai Financial Services Authority (DFSA) or the Financial Services Regulatory Authority (FSRA). Where those rules require a licence, the licensed party is named in the relevant documents.

Other jurisdictions

Vehicles in other jurisdictions, such as the British Virgin Islands or the Cayman Islands, are formed and maintained with local counsel and registered agents. Each issuer and its service providers are responsible for meeting local requirements; counsel confirms them, and Asset Haus does not certify them.

3. Financing, Dataroom and partners

Financing pages

Financing is provided by the fund or lending partner named in your term sheet, which makes its own credit decision. Asset Haus runs the platform, checks applications and coordinates documents; it is not the lender of record. Terms on the trade finance and lending pages are indicative and are not an offer of finance or credit. Financing is for business or investment purposes, not personal consumption, and depends on the lending partner's review, the countries involved and sanctions screening.

Investor strategies

Targets are not guaranteed and are not a forecast. Capital is at risk. Each strategy is offered only through its fund or SPV documents, to eligible professional or accredited investors, where the law allows. Nothing here is an offer, investment advice or a recommendation. Figures stay indicative until the fund or SPV documents are issued, and those documents prevail. Each strategy will be managed by the fund manager named in its documents.

The Dataroom

The Dataroom gives eligible professional and accredited investors information; nothing in it is an offer. Access is by a one-time sign-in link and the investor's own statement of status. Strategy summaries are open to eligible investors, and other documents open on request. Deals from other sponsors are listed as sponsors publish them and are offered by those sponsors under their own documents; Asset Haus does not act as placement agent, broker or investment adviser for them, and a listing is not a recommendation.

Partner programme

Partners introduce clients with the client's consent. Referral terms, if any, are set only in a written partner agreement. Partners do not act for Asset Haus, cannot agree terms on its behalf, and may not promise financing, approval or returns.

4. Accredited investor requirements

U.S. accredited investors

Many offerings facilitated through our platform are limited to "accredited investors" as defined in Rule 501 of Regulation D. This includes individuals with net worth exceeding $1 million (excluding primary residence), income exceeding $200,000 ($300,000 with spouse) in each of the two most recent years, or certain professional certifications, designations, or credentials.

Professional investors (DIFC/ADGM)

Offerings in DIFC and ADGM may be limited to "Professional Clients" as defined by DFSA and FSRA regulations. This generally includes institutional investors, high-net-worth individuals meeting specified thresholds, and entities meeting certain criteria.

Verification requirements

On the first visit to the Dataroom, investors confirm their professional or accredited status in a statement of their own; it opens information only. Before any subscription, the fund administrator, the issuer or its agent checks identity and eligibility under the fund's or SPV's documents. This may include a review of financial statements, tax returns, professional certifications or third-party verification letters.

Suitability

Even if you meet the definition of an accredited or professional investor, private securities investments may not be suitable for you. You should carefully consider your investment objectives, risk tolerance, and liquidity needs before investing.

5. Identity and AML checks

Who checks identity

Identity, beneficial-ownership and source-of-funds checks (KYC and AML) are carried out by the fund administrator, the issuer or the lending partner before any subscription or loan, under their own procedures. Signing in to the Dataroom or the partner portal uses a one-time link sent by email; it is not an identity check. A financing application can be sent without documents, which are requested only if the deal fits.

Sanctions screening

Before any subscription, loan or engagement, the parties involved are screened against sanctions lists, such as those of OFAC (U.S.), the EU and the UN, by the party responsible for that check under the documents. Asset Haus does not knowingly work with persons or entities subject to sanctions or located in sanctioned jurisdictions.

Ongoing monitoring

Ongoing monitoring of investors, borrowers and transactions is carried out by the fund administrator, the issuer or the lending partner under their own procedures. Asset Haus may ask for more information, or decline or end access to its platform, if it has concerns.

Reporting obligations

Regulatory reports, such as suspicious activity reports, are made by the regulated parties that are subject to those obligations. Asset Haus cooperates with them, and with competent authorities, where the law requires.

6. Tax considerations

Tax advice

Asset Haus does not provide tax advice. The tax treatment of investments in SPVs and tokenized securities depends on your individual circumstances and the jurisdictions involved. You should consult with a qualified tax advisor before making investment decisions.

FATCA and CRS

SPVs structured through our platform may be subject to Foreign Account Tax Compliance Act (FATCA) reporting requirements for U.S. persons and Common Reporting Standard (CRS) requirements for automatic exchange of financial account information between participating jurisdictions.

Withholding taxes

Income from investments may be subject to withholding taxes in various jurisdictions. The applicable rates and availability of treaty benefits depend on your tax residence and the structure of the investment.

Tax documentation

Investors may be required to provide tax documentation including W-9, W-8BEN, or equivalent forms. Failure to provide required documentation may result in additional withholding or inability to participate in offerings.

7. Conflicts of interest

Service provider relationships

Asset Haus has commercial relationships with various service providers including legal counsel, fund administrators, lending partners and technology partners. These relationships may create conflicts of interest; we disclose them where they are relevant to an engagement.

Fee structure

Our fees may create incentives that conflict with your interests; for example, fees linked to a transaction, a loan or a subscription reward completion. Fees are set out in writing in each proposal, term sheet or fund document, and we encourage you to consider the total cost.

Affiliated parties

Asset Haus or its affiliates may have financial interests in offerings facilitated through our platform or in companies that provide services to SPVs. Such interests will be disclosed in applicable offering documents.

8. Platform limitations

Technology limitations

Our platform relies on technology systems that may experience interruptions, delays, or failures. We do not guarantee uninterrupted access to our services or the accuracy of all data displayed on our platform.

Blockchain risks

Tokenized securities are recorded on blockchain networks. These networks may experience congestion, forks, or other events that could affect the recording or transfer of securities. Smart contracts may contain bugs or vulnerabilities.

No custody

Asset Haus does not provide custodial services for securities or digital assets. You are responsible for maintaining secure custody of your investment records and any cryptographic keys associated with tokenized securities.

Third-party dependence

Our services depend on third parties including cloud hosting providers, identity verification services, and blockchain networks. Failures or changes in these third-party services could affect our ability to provide services.

Acknowledgment

By using Asset Haus services, you acknowledge that you have read and understood these disclosures, including all risk factors. You understand that private securities investments are speculative and involve substantial risks. You confirm that you are making your own independent investment decisions and are not relying on Asset Haus for investment, legal, or tax advice.

These disclosures are provided for informational purposes and do not constitute a complete description of all risks and considerations relevant to any particular investment. Please refer to the specific offering documents for complete information about any investment opportunity.
