Private credit tokenization infrastructure

For private credit managers, asset-backed lenders and trade finance operators who need to connect investor instructions, cash evidence and records throughout a credit facility's life.

Asset Haus provides infrastructure and implementation support. The proposed scope starts with your operating model, subject to product validation, legal review and service-provider readiness. Buying infrastructure does not secure funding or remove credit risk.

Start the credit workflow assessment

Facility size and suitability depend on the structure, servicing model and readiness; this is not a funding commitment.

Define what the digital record represents

A fund interest, an SPV note and a contractual participation are different instruments, not interchangeable platform settings. The relevant structure and documents determine the right, recourse and record to maintain.

  • Fund interest

The record represents an interest in a credit fund, with economic and governance rights defined by the fund documents.

  • SPV debt instrument

The record represents a note or other obligation of the issuing SPV. Recourse and any security depend on the transaction documents.

  • Contractual right

The record represents the participation or other contractual claim that was agreed. It must not imply an assignment of a loan where none has occurred.

A token balance does not by itself give an investor direct ownership of the underlying loans. Compare the legal and operating layers in the private credit structure guide.

The operating workflow, through to ongoing servicing

Use this sequence to scope the implementation. Each step needs an accountable owner and evidence; which steps are configured, integrated or handled operationally must be agreed before delivery.

  1. Agree the structure and responsibilities

The manager and qualified counsel define the investor right, issuer, servicing mandate, cash accounts and authoritative register before configuration begins.

Evidence: Approved instrument terms, role map and source-of-record policy.

  2. Decide investor admission

The appointed compliance team reviews identity, eligibility and any restrictions. Passing an identity check alone does not authorize a subscription.

Evidence: Recorded admission decision and access permissions.

  3. Review the application and documents

The investor submits an instruction and required documents. The issuer or its appointed administrator reviews acceptance, allocation and outstanding conditions.

Evidence: Accepted instruction linked to the signed document version.

  4. Confirm the money

The designated account provider confirms receipt. Treasury or the administrator reconciles it to the accepted instruction; a submitted payment instruction is not proof of settlement.

Evidence: Matched receipt, with unmatched or short payments held for review.

  5. Update and reconcile the register

The authorized record keeper approves the holding entry once the agreed issuance conditions are met. The digital record must reconcile with the governing register and cash evidence.

Evidence: Approved holding, transaction reference and reconciliation record.

  6. Review payments and publish reports

The servicer supplies collections and portfolio data. Operations prepares the payment proposal, the designated approver authorizes it, and the appointed payment provider executes it before reporting is reconciled.

Evidence: Calculation inputs, approval, payment confirmation and investor statement.

  7. Handle arrears, amendments or transfers

A missed payment or covenant event goes to the responsible manager, servicer or agent. Amendments follow documented consent powers; transfers require eligibility checks, restrictions and any required approvals.

Evidence: Exception decision, notices and authorized record changes.

Hypothetical example

One subscription, then one payment cycle

Illustration only: assume an SPV issues notes linked to a receivables portfolio, with an appointed servicer and a designated collection account. This is not a client transaction, investment offer, forecast or claim that every step is an available product feature.

Subscription

  1. Investor

    Subscribes

An eligible investor submits a subscription and signs the note documents.

  2. Issuer

    Accepts the allocation

Subject to the agreed conditions. A submitted form is not a settled holding.

  3. Account provider

    Confirms receipt

Supplies evidence that funds reached the designated subscription account.

  4. Administrator

    Matches the money

Matches the receipt to the accepted instruction and resolves any shortfall.

  5. Record keeper

    Records the holding

The note holding is recorded once the conditions are met.

Payment cycle

  1. Servicer

    Reconciles borrower collections

  2. Operations

    Prepares the payment

Under the documented waterfall, from approved inputs.

  3. Signatories

    Approve

    Named signatories approve the payment.

  4. Payment provider

    Executes

The appointed provider moves the funds.

  5. Investor record

    Statement updated

Confirmations feed the payment history and investor statement.

If a borrower pays late, the servicer reports the exception. The party authorized by the documents decides on notices, reserves, waivers or enforcement. A scheduled entitlement is not treated as cash received, and the investor record must distinguish an amount due from an amount paid.

Where software supports decisions, and who keeps the authority

The following are proposed implementation boundaries, not a promise of standard functionality. Product support and acceptance tests must be confirmed for your instrument and data sources.

Calculations and payment approval

Potential system scopeIf validated and included in scope, configured rules could calculate accruals, allocations and proposed waterfalls from approved inputs. Unsupported rules would need a separately agreed process.

Accountable partiesThe manager or administrator validates inputs and results. Named signatories approve payments; the appointed bank or payment provider moves the funds.

Covenants and collateral

Potential system scopeAn agreed workflow could record covenant evidence, review dates and exceptions. Data feeds, alert logic and reporting frequency require product and integration confirmation.

Accountable partiesThe servicer and appointed collateral or security agent remain responsible under their mandates for monitoring, valuation and security actions. A system flag does not establish collateral value or enforceability.

Arrears and changes to terms

Potential system scopeAn agreed exception log could link a late receipt to notices, approvals and revised records. Software should not decide a waiver, restructuring or enforcement action.

Accountable partiesThe manager, credit committee, agent or investors decide within their documented powers, with qualified counsel where required. Recoveries are not guaranteed.

Transfers and record corrections

Potential system scopeControlled transfer workflows may include eligibility checks, holding periods and consent steps where appropriate. Implementation must match the instrument and approved operating model.

Accountable partiesThe issuer or authorized record keeper approves transfers and corrections. Technical wallet access does not establish legal authority, create buyers or guarantee liquidity.

Asset Haus is the infrastructure and implementation provider, not the lender, servicer, custodian, broker, placement agent or investment adviser; the issuer is the party named in the deal documents. Legal and tax advice, and any required permissions, remain with qualified advisers and the responsible transaction parties; Asset Haus coordinates that work through legal setup and licensing coordination.

Agree the handover before the build

The engagement would buy an agreed infrastructure configuration and implementation handover, not underwriting, a capital raise or outsourced credit management. A scoped proposal could include the items below after readiness review; inclusions, commercial terms and delivery timing are agreed privately.

Operator and investor interfaces

Proposed handoverAn agreed set of intake, document, holding and reporting views, with a role-based access map.

Dependencies and exclusionsApproved user roles, investor journey, document versions and a confirmed product fit. No assumption that every view is available out of the box.

Data and integration specification

Proposed handoverMappings for servicing data, receipt confirmations and register reconciliation, plus agreed interfaces or file exchanges.

Dependencies and exclusionsNamed providers, sample data, API or file access and data-quality checks. Currencies, payment rails, custody and FX arrangements require separate confirmation.

Rules and control configuration

Proposed handoverDocumented eligibility gates, approval permissions, transfer restrictions and any validated calculation rules included in the engagement.

Dependencies and exclusionsCounsel-reviewed terms, an authoritative register policy and signed-off test cases. Bespoke waterfalls or external services are not assumed to be included.

Acceptance and operating handover

Proposed handoverAn agreed test pack, reconciliation procedure, exception runbook, reporting schedule and export or recovery procedure.

Dependencies and exclusionsNamed operating owners and acceptance evidence, including a late payment, an unmatched receipt and a blocked transfer. Support coverage and change control are agreed separately.

Private credit tokenization: common questions

What is private credit tokenization?

Recording investor interests in a private credit fund, an SPV note or a contractual participation on a digital register, with investor admission, cash evidence, payments and reporting connected to that record. The legal right comes from the instrument and its documents, not from the token.

Does a token give investors direct ownership of the underlying loans?

No. A token balance does not by itself give direct ownership of the underlying loans. A fund interest, an SPV note and a contractual participation are different instruments, and the documents define each one's rights and recourse.

How does the digital record stay in line with the governing register?

The authorized record keeper approves a holding entry once the agreed issuance conditions are met, and the digital record is reconciled with the governing register and the cash evidence. A submitted payment instruction is not proof of settlement.

Who decides on late payments, waivers or enforcement?

The manager, credit committee, agent or investors, within the powers the documents give them and with qualified counsel where required. Software can record exceptions, notices and approvals; it does not decide a waiver, restructuring or enforcement action, and recoveries are not guaranteed.

Can tokenized credit interests be transferred?

Only through controlled workflows: eligibility checks, holding periods and consent steps where the documents require them, approved by the issuer or the authorized record keeper. Technical wallet access does not establish legal authority, create buyers or guarantee liquidity.

Is Asset Haus the lender or the issuer?

Asset Haus is the infrastructure and implementation provider. The issuer and the lender are the parties named in the deal documents; Asset Haus is not the lender, servicer, custodian, broker, placement agent or investment adviser. Legal and tax advice and any required permissions stay with qualified advisers and the responsible transaction parties.

For the lender's step-by-step view, read how to tokenize a loan portfolio; to compare structures, see tokenization vs securitization for private credit.

Scope your credit workflow

Start with your instrument, servicing arrangements and operational gaps. The assessment is a starting point for deciding fit and proposed scope, not an approval to launch or a commitment to provide funding.
